1. The quotation invitation consists of the invitation document and four attachments: cargo information in Chinese, cargo information in English, sheets of quotation and public notice. (Attachments could be downloaded from:openpublic@tianyuanmengye.com ,password: tymy0000)

报价邀请由邀请报价文件及四个附件组成：中文货盘信息，英文货盘信息，报价单，公示单。（附件可登陆邮箱查看：openpublic@tianyuanmengye.com，登陆密码：tymy0000）

All amendments and supplements made by the charterer are integral parts of the quotation document.

租船方所做的一切有效的书面通知，修改以及补充，都是报价文件不可分割的部分。

Shipowner shall carefully check whether the quotation documents are complete, carefully, comprehensively read and fully understand all the contents of the quotation documents.
承运报价方应仔细检查报价文件是否齐全，并认真，全面阅读，充分理解报价文件的全部内容。

Explanations and clarifications of the documents for inviting quotations
邀请报价文件的解释和澄清
1. If the shipownerhave any doubt or misunderstanding about its content. Within 12 hours of receipt of the quotation document, the explanations should be requested in writing (no explanation will be given for the charter party), and the charterer should inform the relevant carrier of the explanation to the quotation party by clarifying mail. (Written request for explanation sent to chartering@tianyuanmengye.com)
  承运报价方如果对其内容有疑问或者理解不清之处。应在收到报价文件12小时内书面要求解释（涉及合同条款部分不做解释），租船方拟将解释以澄清邮件的形式通知相关承运报价方。（书面要求解释发送至chartering@tianyuanmengye.com）
2. The charterer's interpretation shall be an integral part of the quotation documents before the quotation deadline, and shall have the same legal effect as the invitation for quotation documents. When the contents of the documents are inconsistent, the English cargo information and the charter party contract shall prevail.
  租船方的解释在报价截止日期之前均为报价文件的组成部分，与邀请报价文件具有同等法律效力。当文件间的内容有矛盾时，以英文货盘信息和租家合同为准。
Language 标书的语言

Relevant documents can be in Chinese or English. The final interpretation is mainly in English, and the final charter party is in English.
相关文件可以使用中文或者英文。最终解释以英文为主，最终签订租船合同使用英文。

Quotation requirements, assessment and publicity
报价要求，评审办法及公示

The shipowner quotation shall be made according to the quotation sheet, and the person in charge shall sign in a proper position;
承运报价方根据租船方的邀请报价单进行报价，承运报价方负责人需在报价单适合位置手写签字；
The quotation freight from shipowner is the actual price, and the broker's quotation and the freight forwarder's quotation are not accepted
承运报价方报价价格为实船价格，不接受经纪人报价，不接受货运代理等中间商进行报价；
Before the deadline shown in the cargo information, the shipowner sends the quotation to the specified freight rate quotation mailbox (mailbox address: freightoffer@tianyuanmengye.com)
在货物信息上显示的截止日期前，承运报价方将报价单发送至指定的运价报价信箱（邮箱地址：freightoffer@tianyuanmengye.com）；
After deadline, the International ShippingFreight Leading Group will review/assess the quotation according to the situation received.

报价截止日期后，国际航运租船定价领导小组根据报价情况进行审议；

Review method: On the premise that the vessel meets this shipment requirements, in principle, select the shipowner offed lowest quotation;
评审办法：在船舶符合货运要求的前提下，原则上选择报价最低的承运报价方；
After the International Shipping Freight Leading Group confirms the lowest quotation, the charterer will publicize the quotation, and the publicity sheet will be handwritten and signed by the members of International ShippingFreight Leading Group;
国际航运租船定价领导小组确认最低的承运报价方后，租船方将报价情况进行公示，公示单由国际航运租船定价领导小组成员手写签字；
The charterer will notify the shipowner determined by the International ShippingFreight Leading Group by e-mail;
租船方将通过电子邮件形式告知国际航运租船定价领导小组确定的承运方；
The quotation currency is US dollar.
报价货币为美元；

Signing and performance of Charter Party合同的签订和履行

After receiving the notice, shipowner shall provide the ship certificate and other relevant documents, and the charterer shall provide the ship certificate and other information to the loading port for confirmation, and the time limit for confirmation shall be within 24 hours.
承运方收到通知后，提供船舶证书等相关文件，租船方将船舶证书等信息提供给装货港进行确认，确认时限为24小时。
After the loading port confirms the vessel, when shipowner has no objection to the charterer's Performa CP, then clean fix; If there is any objection, clean fix after cp comments;If fail cp details, then again‘OPEN INVITATION FORFREIGHT QUOTATION’ shall be performed. Or International ShippingFreight Leading Group will make final decision.
装货港确认承运船舶后，承运方如果对租船方合同无异议，则双方正式签订租船运输合同；如有异议，则进行合同条款谈判，谈判完毕后签订租船运输合同；如果双方对合同条款无法达成一致意见，则重新履行《租船报价公开邀请函》的程序，或者国际航运租船定价领导小组进行决定。
After the conclusion of a charter party, shipowner and the charterer shall perform their respective responsibilities and obligations in accordance with the CP, including payment of freight, calculation and payment of demurrage/dispatch, etc.
租船运输合同签订后，承运方和租船方依照合同履行责任义务，包括支付运费，核算支付滞期速遣费等。

Arbitration and applicable law仲裁及适用法律

According to the charter party, the place of arbitration is London, England, in English law
根据租船合同，仲裁地为英国伦敦，适用法律为英国法。

根据天元航运提供的报价单形式进行报价。
单独设立运费报价投标信箱，网站和邮箱均通过电子邮件形式发送报价单到投标信箱。投标信箱密码由领导小组组长设立。截标时间点后，组长公布邮箱密码。天元航运整理邮箱中的报价，汇报给领导小组。
领导小组最终确定承运人后，承运人无法提供实船的，将被列入黑名单不在报价邀请范围内。

报价要求 REQUIREMENT
1. 要求报价不包含中间价格，为船东直接报价。不接受经纪报价，不接受货运代理报价。 1.The quotation freight from shipowner is the actual price, and the broker's quotation and the freight forwarder's quotation are not accepted
2. 根据天元航运提供的报价单形式进行报价。OFFER TO BE SENT BSS THIS QUOTATION SHEET.
3. 背靠背报价，天元航运公示各家报价前，禁止通过任何方式同天元航运人员以及相关人员进行联络,相关人员也禁止同报价方联系，否则该报价作废。OFFER TO BE SENT BACK TO BACK AND NO CONTACT WITH CHTRS. OTHERWISE OWRS OFFER WOULD BE TREATED UNVALID.
4.运费投标公示后，中标船舶提供船舶证书，装货港进行审核并于1个工作日内确认。 Owrs provide vessel's certs etc for loading port approval within one working day.
5.领导小组确认的船舶由天元航运宣给装港装货公司SMT,并需要SMT最终确认是否接受。 The vessel confirmed by leading group should be nominated to SMT at loading port. And subject to SMT approval.
6.领导小组确认的，而无法在半个工作日内提供实船的最终承运商，将被列入黑名单，后续不再邀请报价。 The carrier which confirmed by the Leading Group can not nominate named vessel will be black listed by us and no longer be invited to offer on further shipments.
